Terms of Service

Please read these Terms of Service ("Terms") carefully before using the CoachesPad application or website (collectively, the "Service") operated by CoachesPad ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, or using CoachesPad, you represent that you are at least 13 years of age (or the applicable age of digital consent in your jurisdiction) and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

CoachesPad is an iPad application that allows coaches to create, animate, store, and share athletic play diagrams. The Service includes optional cloud sync features powered by Firebase.

3. Account Registration

The Service may be used in guest mode without an account. If you register an account, you agree to provide accurate information and maintain the confidentiality of your credentials. You are responsible for all activity that occurs under your account.

4. License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use CoachesPad on Apple devices you own or control, solely for your personal, non-commercial coaching purposes.

5. User Content

You retain ownership of all play diagrams, drawings, and other content you create in the app ("User Content"). By using the cloud sync feature, you grant us a limited, worldwide license to store, transmit, and display your User Content solely to provide the Service to you. We do not claim any rights to your User Content beyond what is necessary to operate the Service.

You agree not to create or upload User Content that:

  • Infringes any third-party intellectual property rights.
  • Contains malicious code, spam, or unauthorized advertising.
  • Violates any applicable law or regulation.

6. Prohibited Conduct

You agree not to:

  • Reverse engineer, decompile, or disassemble the app.
  • Use the Service to develop a competing product.
  • Attempt to gain unauthorized access to our systems or another user's account.
  • Use automated tools to scrape or extract data from the Service.
  • Interfere with the security or integrity of the Service.

7. Intellectual Property

The CoachesPad application, website, and all related assets (excluding User Content) are owned by CoachesPad and protected by applicable intellectual property laws. Our name, logo, and product names are trademarks of CoachesPad. Nothing in these Terms grants you the right to use our trademarks without prior written consent.

8. Third-Party Services

The Service integrates with Firebase (operated by Google). Your use of those services is governed by their respective terms of service. We are not responsible for the availability or conduct of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COACHESPAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $10 USD.

11. Indemnification

You agree to indemnify and hold harmless CoachesPad and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your license to use the app ceases immediately. Sections 5, 7, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules, conducted in English in San Francisco, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective date" above. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
